Page 1 Gulf Mushroom Products Company SAOG Personnel Manual Revised 20220726 1 Introduction 1.1 Principles 1.1.1 The Personnel Policies of the Company are based upon the belief that the success of the Company is primarily dependent on its employees and that the development of their potential is beneficial both to employees as well as to the Company. It is upon the commitment and effort of the employees that the Company depends for its continued prosperity and growth. 1.1.2 In view of this basic premise, a set of policies has been laid down in the subsequent pages of this Personnel Manual. These policies aim at attracting, retaining and motivating personnel to achieve higher goals and attain greater opportunities for advancement in their career with the Company. 1.1.3 This Manual lays down details of policies covering Recruitment & Selection, Performance Management, Employee Benefits and Perquisites, Travel, Separation and other relevant terms and conditions of employment. 1.2 Objectives The objectives of documenting these policies are:  To ensure consistency in their interpretation and implementation  To apply all norms on an equitable basis throughout the Company  To provide transparency in all matters concerning employees  To allow for improvements and changes in policy, based on requirements dictated by the external and / or internal environment. 1.3 Controlling Law 1.3.1 The controlling law for all policies in the Company is the labour law of the Sultanate of Oman as promulgated by Royal Decree 34 of 1973 (the Law) and as may be amended subsequently. 1.3.2 In the event of any conflict in interpretation which may arise between the contents of this Manual and the interpretation of the Law as given in any Ministerial or Executive order, the latter shall prevail. 1.3.3 In the event of amendments to the labour law conferring more benefits than those provided in this Manual, employees will be entitled to the more beneficial of the two, but not both.
Page 2 Gulf Mushroom Products Company SAOG Personnel Manual Revised 20220726 1.4 Coverage The policies and procedures covered in this Manual are applicable to all employees of Company based in the Sultanate of Oman. Employees based overseas would be governed by separate rules. 1.5 Control Procedures 1.5.1 The control of the Personnel Manual is the responsibility of Chief Finance Officer(CFO). 1.5.2 All copies of the Manual, all revisions and amendments shall be controlled and distribution of this Manual outside the Company is strictly prohibited. 1.5.3 The relevant portion pertaining to entitlements, eligibility of perks at various levels, conduct and discipline, grievance procedure will be made available for the information of all employees. 1.5.4 The holder of the Personnel Manual should return the Manual to the CFO in the event of transfer or separation. 1.6 Structure of the Manual 1.6.1 This Manual is divided into chapters which are further subdivided into sections. Under each section, the relevant paragraphs are systematically grouped to document all related issues. 1.7 Review and Revision 1.7.1 This Manual will be reviewed by the CFO once a year to update the Manual in line with organizational requirements and business trends. 1.7.2 Proposals for revision should be submitted to the Board of Directors through the Chief executive Officer (CEO). The Board of Directors shall initially authorise the Manual and approve subsequent amendments to this Manual. 1.8 Interpretation The Audit Committee shall be the final authority in interpreting the meaning of substantive or procedural aspects mentioned in this Manual in the event of any doubt in interpretation.
