Himachal Pradesh National Law University, Shimla Semester- V Academic Session 2024-25 Paper Code: LB-503 Page 1 COMPANY LAW Course Outline: -This course extends over four modules and covers different areas relating to the Indian Company Regulation regime. This course is intended to cover all the major aspects of Company Law which bears importance for practical Company operations in India. The course has been designed in such a manner that provides the student with a step-by-step guide to dealing with company-related issues in India. It covers key concepts and principles such as separate legal personality, and limited liability through its evolution in England and India. It makes the students apprised ofthe different steps towards the Formation of a company and the rights and duties of promoters. The course, in the area of Corporate Finance, provides the idea of Shares and Share Capital - Debenture - Charge - Prospectus - Public Offer & Private Placement - Borrowing Powers of Companies. This course further covers the area of corporate governance viz. Directors (Powers & Functions) - Duties and Liabilities of Directors – Meetings - Oppression and Mismanagement - Class Action - Corporate Social Responsibility -Corporate Criminal Liability. It also emphasized the importance of National Company Law Tribunal.This paper is intended to equip the candidate with knowledge, skills, and attitudes that willenable him/hertoapplyandcomply withtheprovisionsof CompanyLaw in relevantcircumstances and environments and further demonstrate knowledge of the law andregulations governing corporate entities and ensure compliance in practice. Course Objectives: -The primary objectives of this course are: 1. To Understand the structure, sources, and historical evolution of company law in India and England, learn the significance and implications of foundational concepts about company, legal personality and lifting of corporate veil and master the procedures for forming and registering different types of companies. 2. To grasp the principles and legal fundamentals with respect to the raising of capital through various sources, allotment of securities. 3. To understand the idea of corporate governance viz. Directors (Powers & Functions) - Duties and Liabilities of Directors – Meetings - Oppression and Mismanagement - Class Action - Corporate Social Responsibility -Corporate Criminal Liability.
